(a) For the purposes of this information, ‘Intellectual Property Rights’ shall mean patents, rights to inventions, copyright and related rights, trade marks, trade names and domain names, rights in get-up, rights in goodwill or to sue for passing off, rights in designs, rights in computer software, database rights, rights in confidential information (including but not limited to know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which may now or in the future subsist in any part of the world.
(b) By commencing agreement to services supplied by SAINT DESIGN LIMITED the client hereby acknowledge and agree that SAINT DESIGN LIMITED is and shall be the exclusive owner of all right, title and interest in and to the Work Product, including all Intellectual Property Rights therein, and, for certainty, shall have the right and authority to use and display Work Product in it’s online portfolio and social channels at its discretion without notice to or the consent of Client. Client shall retain no rights of any type in the Work Product unless otherwise agreed formerly in a written agreement which supersedes this agreement. All Work Product shall include all tangible deliverables and the results of the Services, and the products thereof, developed for the Client. To the extent that the Work Product is not automatically deemed to be the property of Client under applicable law.
Change of Ownership and File Handover
Handover of design files from our archive and grant of full ownership of design files for exclusive ownership of all right, title and interest in and to the Work Product, including all Intellectual Property Rights therein, and, for certainty, shall have the right and authority to use, reproduce, modify, distribute, transfer and otherwise fully exploit the Work Product at its discretion without notice to or the consent of SAINT DESIGN LIMITED will carry a fee.
